We at LCG have expertise from the business side and the legal side and can understand the needs of a startup well. We have thus created a “Fixed Fee package” to help you get started.

The Fixed Fee startup package includes:

A two-hour Legal and Business strategy session with our team of lawyers to discuss your business setup and plan, help you choose the right entity for formation (Limited Liability Company, Corporation, S-Corporation, etc.), agreements between founders (crucial), etc.

• Trademark and other Intellectual property needs discussion
• Fundraising strategies
• Drafting Documents:

1. Incorporation documents. 
2. Getting authority to do business in different states (if needed).
3. Publications if required under the incorporation.
4. Initial By-Laws, incorporating/formation resolutions and stock/membership interest issuance in addition to creation of company record book.
5. Obtaining Employer Identification/ Tax ID number.
6. Assistance with Registration with New York State as an employer and guidance on insurance requirements (e.g. worker’s compensation, disability and unemployment insurance) and hiring requirements (e.g. what is permissible to ask on job applications, what benefits must be offered to employees).
7. Drafting of Advisory board agreements.
8. Basic package of Employment Offer Agreement, Independent Contractor agreement, Confidentiality Agreements, Non-Solicitation, Non-Disclosure & Assignment of Invention Agreements.

All filing or agent fees are not included in the Fixed Fee Package

Launching your venture in a new country requires a good understanding of the local business culture and the local laws to create the right foundation for scaling. We help foreign companies bridge this gap so that the focus can remain on core capabilities. We help them setup with the right business entity, assist with local state registrations and hiring requirements (different for each state in the US), drafting all the essential agreements and policies (employment agreements, consulting agreements, NDA’s, Service agreements, etc. as needed). Once these steps are satisfied, we assist our international clients in corporate, general counsel, and Immigration matters as discussed in other practice area descriptions. 

General Counsel Services are “Fixed price” based on monthly hours which provides the company with access to a General Counsel without hiring one full time or hiring an expensive large law firm for regular legal matters. 

The services include:

• General advice on day-to day legal matters. 
• Corporate governance issues (attending Board/shareholders meeting and related work).
• Dealing with commercial contracts. 
• Interpreting risks associated with new business ventures.
• Vendor disputes. 
• Compensation matters. 
• Lease preparation, review and negotiation.
• Financing options.
• Risk management and Risk Assessment.
• Being the liaison with large law firms on complex mergers, JV’s, acquisitions, and on all litigation matters. 

These services are time based as needed by the company.

• 10 hours of legal time per month
